Askpaaji Terms and Conditions of business
Please read the terms and conditions carefully as they affect your statutory rights and liabilities.
By accessing or using any part of askpaaji.com you are agreeing to be bound by the following legal conditions of askpaaji.com and the privacy policy. If you do not wish to agree to be bound then do not use any part of askpaaji.com
DEFINITIONS AND INTERPRETATION
- In these Terms: "AP" askpaaji is the trading name of Indian directory Ltd. "Paaji" animated male character on site "Contract" means the contract made between the Client and AP to which these terms of business apply; "APC" means Askpaaji client "Services" means the provision of (1) a free entry or entries relating to the Client on the web page or pages maintained by AP, and (if so requested and agreed by the client) (2) the provision of hyperlinks to the entry or entries, the design and drafting of those entries and the provision of online mapping information relevant to the Client's business ("additional services") "Term" shall mean a period of one year from the date on which the Contract becomes effective subject to clause 6.4 below. "Initial Contract" means the first annual Contract entered into between AP and the APC.
- AP supplies an internet business directory service on its own account and not agent or otherwise on behalf of any other party.
OBLIGATIONS OF ASKPAAJI.COM
- The Services shall be provided by AP with reasonable care and AP will use its best endeavours to procure that the Services are accurate and are available to the public throughout the term. The site is owned and operated by Indian directory Ltd trading as AP from 209 Dyas Avenue, Great Barr, Birmingham, B421HN.
- AP can restrict access to the site at any time to allow for repairs, maintenance or the introduction of new services. AP may refuse to post material on the site and remove material from the site at any time.
TRADE MARKS
- You acknowledge that Askpaaji.com, the site and the brand logo "paaji" are trade marks. You must not use them without prior written permission of Indian directory Ltd. There are also many other trademarks, product names, company names or logo's cited on the site askpaaji.com they are the property of their respective owners.
PERMITTED USE
- You may not frame any page of the site (reproduce any page of the site (including the home page) framed within another website). The site may contain hyperlinks to websites provided by parties other than AP. AP is not responsible for the availability or content of third party sites.
- You are allowed to access the askpaaji.com database, to make a copy of the results of any searches made in that database, you may retrieve and view the content on screen and print out onto paper (but not photocopy) or store in electronic format, a reasonable amount of the content for your personal and non commercial use only. You shall not:-modify, copy, distribute, transmit, display, perform, reproduce, publish, licence or create derivative works from the content.
CHARGES
- All charges payable under this Contract are due on formation of the contract and AP shall be under no obligation to provide any services until after such payment has been made.
- All charges payable under this Contract are exclusive of Value Added Tax, which shall be paid by the APC in addition, where applicable.
- Any services provided in addition to the Services as above specified will be charged for in accordance with the normal scale of hourly charges of AP current at the time these additional services are invoiced.
- All charges unpaid within 28 days of the date of the invoice shall bear interest on a daily basis at a rate two per cent above the base rate.
CLIENT'S DEFAULT, TERMINATION AND CANCELLATIONS
- This Contract may be terminated forthwith by AP by notice in writing to the APC if the APC shall fail to pay any sum due to AP within 14 days of its due date, shall have a receiver or administrative receiver appointed, shall pass a resolution for winding-up (otherwise than for the purpose of a bona fide scheme of solvent amalgamation or reconstruction), shall become subject to an administration order, enter into any voluntary agreement with its creditors or shall cease or threaten to cease to carry on business.
- 6.2 The APC shall have the right within seven working days of the date of the Initial Contract by notice in writing delivered to AP to cancel the Initial Contract and any sums paid by the Client shall be returned to the Client.
- 6.3 Any termination of this Contract (howsoever occasioned) shall not affect any accrued rights or liabilities of either party nor shall it affect the coming into force or the continuance in force of any provision hereof which is expressly or by implication intended to come into or continue in force on or after such termination.
- 6.4 At the expiry of the Initial Contract and each subsequent Contract the Contract shall automatically renew for the Term unless the client has provided AP with written notice of its wish to terminate such notice to be received by AP not less than thirty days before the end of the Initial Contract or the contract as the case may be.
COMMENCEMENT
- Requests by the Client for cancellation or amendment of this Contract will only be considered by AP if made in writing.
RESPONSIBILITIES OF THE CLIENT
- The APC shall supply AP with all of the information required in AP standard form of listing and warrants that such information is true and accurate.
- The APC warrants in respect of any website which is referred to in AP listing that the contents are legally listed and free from criminal or tortuous activity and shall indemnify AP against any costs claims and demands whatsoever and wheresoever arising out of the listing by AP.
DISCLAIMER OF REPRESENTATIONS AND WARRANTIES
- AP and APC as third party content providers make considerable effort to make information available via Askpaaji.com as accurate as possible but no warranty or fitness is implied. Neither AP, AP employees or third party content providers (the APC) make any representation or warranty or condition, either express or implied, to you that Askpaaji.com will be uninterrupted or error free, or that the server from which the site is available are free of viruses or other harmful components, to the accuracy, timeliness, content, service, suitability of any information, service or results from a search provided through Askpaaji.com.
- No oral advice or written information given by AP, AP employees, Third party content providers (APC) will create a representation, a warranty or condition nor should you rely on any such information or advice.
PROVISION OF ADVISE
- AP does not vouch for third party content providers (APC) companies or other organisations whose goods or services may be displayed or referred to in Askpaaji.com nor the availability, suitability or prices of such goods and services. Nor for the legal entitlement, professional qualification, trade certificate, or membership of trade associations of APC, companies, or other organisations. Askpaaji.com may make available financial information provided by third party content providers (APC) this is information only and should not be relied upon.
LIMITATION OF LIABILITY
- Neither Askpaaji.com nor APC seek to limit or exclude liability for death or personal injury arising from their negligence. Under no circumstances will Askpaaji.com, third party content providers (APC) or other associated organisations be liable for any direct, indirect, incidental, special or consequential damages, (including but not limited to loss of profits, business, anticipated savings, goodwill, use of data or other intangible losses) that results from:- The use or reliance on askpaaji.com. mistakes, omissions, interruptions, suspension, termination, deletion of files, errors, defects, viruses, delays in operation. Information or advice received through or advertised on Askpaaji.com and information or advice received through or advertised on any links provided on Askpaji.com.
GENERAL
- By accepting the provision of the services, the client consents to being contracted by AP from time to time during the duration of the contract, for the purposes of offering or promoting services or products which are ancillary, related or of a similar type to, the services.
- If any of the provisions of this contract are invalid under any applicable statute or rule of law than to that extent they are deemed omitted.
- Any notice to be given hereunder shall be delivered or sent by post or fax to the address of the other party set out in the contract and any notice shall be deemed to have been served if delivered at the time of delivery, if sent by first class pre-paid post to and from an address within the United Kingdom 48 hours after posting, if by pre-paid airmail to or from an address outside the united Kingdom 5 days after posting and if sent by fax when dispatched.
- AP may advertise or otherwise disclose the terms of this contract save to the extent that the client shall have reasonably raised a prior objection in writing.
This contract shall be governed by and construed in accordance with the laws of England and only the English law will decide disputes.
Failure by Askpaaji.com to exercise any right or remedy under these terms does not constitute a waiver of that right or remedy.
